The Exchange Deadline Does Not Extend a Rate Lock

A lender rate lock does not extend Section 1031 deadlines. Track exchange, acquisition, financing, and closing evidence with the right advisors.

Freddie Mac’s September 24 national average is a useful financing signal, but it does not establish an exchanger’s available terms. More important, a lender’s rate-lock window and the federal exchange periods are separate clocks. Current IRS Form 8824 instructions generally require written identification within 45 days after transfer of the relinquished property and receipt by the earlier of 180 days or the federal return due date, including extensions. Financing friction does not create a general extension of those federal periods.

Run four dated workstreams

Keep the exchange file, acquisition file, property-diligence file, and financing file separate. The exchange file tracks taxpayer, intermediary, identification, deadlines, receipt, and reporting. The acquisition file tracks contract, title, escrow, and conveyance. The diligence file tracks leases, condition, insurance, income and expense evidence, management, and use. The financing file tracks current terms, approval conditions, rate-lock status, expiration, reserves, and closing readiness.

Do not let one “yes” answer another question

A timely identification does not prove lender approval. A rate lock does not establish exchange qualification. A signed purchase agreement does not confirm property condition, title, insurance, or operating performance. Mark each item confirmed, pending, or unavailable and keep its source and date visible.

Name the professional owner

The qualified intermediary, CPA, and attorney should address exchange structure, identification, deadlines, basis, boot, related-party issues, and reporting. The lender owns loan and lock terms; title and escrow own the closing file; insurance and property professionals own their scopes. The broker can organize real-estate facts but should not merge these judgments into an exchange, tax, or investment conclusion.

Example: identification is timely, financing is not ready

An exchanger identifies a property on day 40. The lender has not cleared a required document, and the quoted rate is not locked. The exchange team preserves the federal deadlines; the lender provides current written financing status; the property team keeps alternatives and contract facts visible. No one assumes that one clock pauses the other.
